Foundation and name

Article 1

 

This organization was founded in April 2002 following a decision by neuroscientists from many Mediterranean countries attending the 1st Mediterranean Congress of Neurology in Limassol, Cyprus.

 

It shall be known as the Mediterranean Neurological Society herein after referred to as the Society.  Mediterranean countries are those bordering   the Mediterranean Sea.

 

A non profit organization

 

Article 2

 

This Society is a non-profit organization and there will be no financial profit to any one of its members as a result of its activities.

 

Address of the Society

Article 3

 

The address of the Society will be the address of its business office, the location of which will be decided by the Council.

 

A web site of the Society and the Congress will be installed.

 

No discrimination

Article 4

 

The activities of the Society shall be open to all neurologists and neuroscientists irrespective of sex, race, religion, philosophical and political opinion or nationality.

 

 

Objectives and purpose

Article 5

 

The objectives of the Society shall be:

 

a.       To advance development of the neurological sciences among the Mediterranean countries for the benefit of their people.

b.       To achieve collaboration between neuroscientists of the Mediterranean countries regarding education, training, research and neurological care.

c.       To promote cooperation with other international organizations such as the WFN, EFNS, WHO etc.

d.       To protect the rights and interests of neuroscientists in the Mediterranean countries.

e.       To promote adequate standards of Ethics in the practice of neurology among its members.

f.        To organize at least every 2 years the Mediterranean Congress of Neurology in a different country which will be decided by the General Assembly during the previous Congress. Other scientific meetings will be organized as necessary.

g.       To publish a scientific journal, newsletter or other appropriate material for the best communication with its members and the promotion of their work.

 

Membership

Article 6

 

There shall be three categories of members: ordinary, individual and honorary.

 

a.       Ordinary members

All National Neurological Societies of the Mediterranean countries can be ordinary members.  All members of a National Society will be automatically members of the Society represented by one delegate in the Council.

 

b.       Individual members

Neuroscientists from countries that are not represented in the Society by their National Societies can become individual members after appropriate application and approval by the Management Committee.  They have all the rights and obligations of other members except for voting powers.

 

c.       Honorary members

Individuals with outstanding contribution to neurosciences can  be approved  as honorary members by the Council.  They will have all the rights  and obligations of other members except for voting powers.

 

 

Council of Delegates

Article 7

 

The Council of Delegates herein referred  as Council is the supreme body of the Society that governs all its activities.  It consists of one delegate appointed by each member National Neurological Society or his (her) substitute.  The Council meets normally during the Mediterranean Congress of Neurology.

 

 

Management Committee

Article 8

 

The Council shall delegate the day-to-day management of the Society to the Management Committee, which consists of the President, Vice President, Secretary General, Treasurer and two members at large.  

The Management Committee is elected by the Council, serves for two years and each one of its members is reelectable once for the same position.  It meets normally during the Mediterranean Congress of Neurology or via teleconference in special occasions.  

 

The President is responsible for all urgent matters but his decisions should be approved during the next Management Committee meeting and ratified by the Council.  He presides over the meetings of the Management Committee and the Council and gives a Presidential address at the opening ceremony of the Mediterranean Congress of Neurology.

 

The Vice President substitutes for the President in the case of his absence or death.

 

The Secretary General  keeps up-to-date directory of the Society, prepares the agenda for the General Assembly, the Council and Management Committee meetings and prepares the minutes which when approved are signed by him and the President.

 

The Treasurer is responsible for the financial affairs of the Society, collects the annual fees, donations or grants, makes all payments and keeps the records of the accounts of the Society.  He presents the financial report for approval during the General Assembly meeting.

 

The Members at large perform other duties assigned by the President or Management Committee.

 

General Assembly

 

Article 9

 

The General Assembly takes place during the Congress of the Society.  All three categories of members (regular, individual and honorary) can participate but only regular members can vote.  

 

The President of the Society presides and in case of a tie he has a deciding vote.

The agenda is prepared and sent to all members by the Secretary General at least one month in advance.  It includes reports by the President and the Treasurer, any other business as well as the decision for the venue of the next Congress.

 

Topics for discussion and proposals for amendments to the Constitution can  be introduced by any member provided the Secretary General is notified at least two months in advance.

 

A quorum requires the presence of half of the regular members and decisions are taken by simple majority except for amendments of the constitution or dissolution of the Society that require a two third majority.

Committees

Article 10

 

The Council can appoint any Committees that it considers necessary in order to accomplish the objectives of the Society.

 

Bylaws

Article 11

 

The Council can approve any bylaws necessary for better functioning of the Society within the spirit of the Constitution.

 

Annual subscription fees

Article 12

 

Each member pays annual subscription fee the size of which is decided by the Council.  Ordinary members whose National Societies are in arrears are not eligible to vote.

Members of National Societies which are already ordinary members of the Society do not pay separate fees.

 

 

Official language

Article 13

 

The official language of the Society and the Mediterranean Congress of Neurology is English.

 

 

 

Matters not covered by the Constitution

Article 14

 

The Council decides on all matters that are not covered by the articles of the Constitution.

 

 

Logo

Article 15

 

The logo of the Society shall contain elements from the Mediterranean region, the neurosciences and the name of the Society.

 

Amendments

Article 16

 

Any member of the Council can propose amendments to the constitution provided that the Secretary General is notified at least two months in advance in order to include them in the agenda of the General Assembly.

A two third majority is required for their adoption.

 

 

Dissolution

Article 17

 

Dissolution of the Society can be decided at an extraordinary meeting called solely for this purpose by the Council.  Two thirds of the regular members have to be in favor for its adoption.  The property of the Society is donated to organizations with similar objectives.
